Terms of Service

Nod is built and operated by an individual developer, Dima Barabash, not an incorporated company. Paid subscriptions are sold through Paddle, which acts as our Merchant of Record. These Terms describe how Nod works today; we'll re-notify you of any material change.

Welcome to Nod. These Terms of Service ("Terms") are the agreement between you ("you", "your") and Dima Barabash, an individual developer operating Nod during private beta ("Nod", "we", "us") that governs your use of the Nod macOS app, the related services hosted at hellonod.app, and anything else we offer (the "Service").

By installing or using the Service you agree to these Terms. If you don't agree, don't use the Service.


1. Eligibility and account

You must be at least 16 years old (or the age of digital consent in your country, whichever is higher) to use the Service. If you're using Nod on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

Sign-in is via Google OAuth. You're responsible for keeping your Google account secure and for everything that happens through your Nod account. Notify us immediately at dbarabashdev@gmail.com if you suspect unauthorised access.

One account per person. Don't share credentials.

2. The Service, in plain terms

Nod records meetings playing through your Mac's microphone and speakers, transcribes them using Whisper, and produces an AI-generated summary using a large language model. Audio is captured locally on your Mac and never stored — only the transcript and the summary are saved to your account. See Security and the Privacy Policy for the full picture.

We can change, suspend, or discontinue features at any time. We'll give reasonable notice for material reductions in functionality.

3. Your responsibility to obtain consent

You are responsible for complying with the recording laws of every jurisdiction where you and your meeting participants are located. Some jurisdictions require all parties to consent before a conversation can be recorded.

Before your first recording, Nod shows you a consent disclaimer. By clicking "Acknowledge & Start" you confirm that you understand this responsibility, and we write an immutable audit row to record your acknowledgement (see the Consent guide).

Failure to obtain required consent is your responsibility, not ours.

4. Acceptable use

When you use Nod you agree not to:

  • Record any conversation without the consent required by applicable law.
  • Use the Service to harass, defame, threaten, or stalk anyone.
  • Reverse-engineer, decompile, or attempt to extract source code from the app beyond what is permitted by mandatory law.
  • Probe, scan, or test the vulnerability of our infrastructure without prior written permission (responsible-disclosure reports to dbarabashdev@gmail.com are welcome and encouraged).
  • Use the Service to build a competing product by systematically scraping outputs.
  • Circumvent quotas, rate limits, or our LLM proxy.
  • Upload content that contains malware, infringes others' rights, or is illegal in your jurisdiction.
  • Use Nod to record conversations whose recording is prohibited by law (for example, certain attorney–client privileged communications, medical consultations subject to additional consent requirements, or meetings of public bodies that have separate statutory regimes).

We may suspend or terminate accounts that breach this section. For severe or repeated breaches we may do so without prior notice.

5. Your content, our rights

Your meetings, transcripts, summaries, and notes ("Your Content") belong to you. We claim no ownership in Your Content.

You grant us a limited, worldwide, royalty-free licence to host, process, and display Your Content solely to provide and improve the Service to you — for example, to store your transcripts, run the summariser, and show your meetings back to you in the app. This licence ends when you delete the content or your account.

We do not train any machine-learning model on Your Content. Our subprocessors are also configured not to train on your data (see Privacy § 4).

6. AI output disclaimer

The transcripts and summaries Nod produces are generated by machine-learning models (Whisper for transcription, a large language model for summarisation). These models can make mistakes — they can mistranscribe words, attribute statements to the wrong speaker, hallucinate details that weren't said, or miss important points.

Do not rely on Nod's output for medical, legal, financial, safety, employment, or other high-stakes decisions without independent verification. Treat the output as a draft you must review.

We don't warrant that any specific output is accurate, complete, or fit for any particular purpose. The output is provided "as is".

7. Pricing, billing, refunds

Nod offers paid subscriptions (Starter and Pro) alongside a 14-day free trial. Pricing, the billing cycle, and the features included are shown in the app and at hellonod.app/pricing before you subscribe.

  • Your subscription is sold by Dima Barabash (the individual operating Nod) through Paddle.com Market Limited, which acts as our Merchant of Record. Paddle is the seller on record for the transaction and handles payment processing, VAT/sales tax, invoicing, and refunds.
  • Subscriptions auto-renew at the end of each billing period. You can cancel anytime — cancellation takes effect at the end of the current period and you retain access until then.
  • Every paid plan includes a 7-day money-back guarantee on your first payment.
  • EU and UK consumers also have a 14-day cooling-off period from the start of the subscription, in line with consumer-rights law. To withdraw, email dbarabashdev@gmail.com within 14 days.
  • Outside those windows we do not generally refund unused portions of a billing cycle, but we'll make exceptions for service outages, billing errors, or cases where we've materially reduced promised functionality. Contact dbarabashdev@gmail.com.
  • Prices are exclusive of taxes; Paddle adds VAT/GST where required by your location.

8. Termination

You can delete your account at any time by emailing dbarabashdev@gmail.com, or by deleting it from within the app once that flow ships. Account deletion removes your meetings, transcripts, summaries, and usage rows within 30 days (see Privacy § 7).

We can terminate or suspend your account if you breach these Terms, if we're required to by law, or if continuing to serve you would expose us to legal risk. Where possible we will notify you first and give you a chance to cure the breach.

Sections 5 (Your Content licence — survives only for content you don't delete), 6 (AI disclaimer), 9 (warranty disclaimer), 10 (liability), 11 (governing law), 12 (disputes), and 13 (general) survive termination.

9. Warranty disclaimer

The Service is provided "as is" and "as available", without warranties of any kind, express or implied — including warranties of merchantability, fitness for a particular purpose, non-infringement, and that the Service will be uninterrupted, error-free, or secure beyond what's described in Security.

Nothing in this section limits warranties that cannot be excluded under mandatory consumer-protection law in your jurisdiction.

10. Limitation of liability

To the maximum extent permitted by law, Nod and its directors, employees, and contractors will not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, goodwill, data, or use.
  • Damages arising from inaccurate or incomplete AI output.

Our total aggregate liability for any claim arising out of or related to these Terms or the Service is limited to the greater of (a) the amount you have paid us in the 12 months before the event giving rise to the claim, or (b) 100 EUR.

Nothing in this section limits liability that cannot be limited under mandatory law — including liability for gross negligence, wilful misconduct, fraud, death or personal injury caused by negligence, or the statutory rights of consumers.

11. Governing law

Because Nod is operated by an individual developer rather than a registered company, these Terms do not designate an exclusive governing law. Mandatory consumer-protection law in your country of residence applies in full.

Payments are handled by Paddle as Merchant of Record under Paddle's own buyer terms, which apply to the payment transaction in addition to these Terms. We'll give you at least 30 days' notice of any material change to this section.

12. Disputes

Before filing any formal claim, please email dbarabashdev@gmail.com with a description of the dispute. We will try to resolve it informally within 30 days. If we can't, you may bring claims in the courts of your country of residence to the extent permitted by law.

13. General

  • Changes to these Terms. We may update these Terms occasionally. Material changes will be announced by email at least 30 days before they take effect. Continued use after that period means you accept the changes; if you don't, stop using the Service.
  • Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service.
  • No waiver. If we don't enforce a provision, that doesn't waive our right to enforce it later.
  • Severability. If any provision is held unenforceable, the rest continues in effect.
  • Assignment. You can't assign these Terms. We can assign them in connection with a merger, acquisition, or sale of assets, with notice to you.
  • Notices. We'll send legal notices to the email on your account. You can send notices to dbarabashdev@gmail.com.
